NVIDIA Plenary Ballot

1.     Informationon how to enter and the prize(s) form part of these Terms and Conditions.Participation in this promotion is deemed acceptance of these Terms andConditions.

2.     The promoter is SXSW Sydney Pty Ltd (ABN13 661 937 980) of Level 3, 175 Liverpool Street, Sydney, NSW 2000 (Promoter).

3.     Thispromotion is conducted in connection with the online sale of tickets by thePromoter to the SXSW Sydney 2025 (Event).

4.     Entryis only open to residents of Australiawho are 18 years or older and are authorised to purchase ticket(s) to the Event(Entrants).

5.     Thedirectors, management and employees (and their immediate facilities) of thePromoter and its agencies directly associated with this promotion are ineligibleto enter. Immediate family means any of the following: spouse, ex-spouse,de-facto spouse, child or step-child (whether natural or by adoption), parent,step-parent, grandparent, step-grandparent, uncle, aunt, niece, nephew,brother, sister, step-brother, step-sister or first cousin.

6.     Thispromotion commences at 06:00AM (Sydney time) on 11 September 2025and closes at 11:59PM (Sydney time) on 19 September 2025 (PromotionalPeriod).

7.     Toreceive a valid entry into the Promotion, Entrants must, during the PromotionalPeriod register for the NVIDIA Ballot Addon as part of their SXSW Sydney ticketon Lup (available at: https://tickets.lup.com.au/SXSW-Sydney-2025?cat=CAT-REGISTRATION)(Promotional Website) (Eligible Activity).

8.     Avalid completion of the Eligible Activity is one (1) entry into the Promotion. EachEntrant may only enter once during the Promotional Period.

9.     Entriesmust be received by the Promoter during the Promotional Period. Entries will bedeemed to be accepted at the time of receipt and not the time of transmission.Incomplete, indecipherable or illegible entries will be deemed invalid.

10.  Anycosts associated with accessing the Promotional Website to enter the promotionare the Entrant’s responsibility and is dependent on the Internet serviceprovider used.

11.  Theuse of any automated entry software or any other mechanical or electronic meansthat allows an Entrant to automatically enter repeatedly is prohibited and willrender all entries submitted by that Entrant invalid.

12.  AllEntrants who complete an Eligible Activity during the Promotional Period willbe automatically entered into the draw. The draw will take place at 10:00AM(Sydney time) on Monday 22 September at the Promoter’s premises. ThePromoter may draw additional reserve entries and record them in order in casean invalid entry or ineligible entrant is drawn. The winner(s) will be notifiedin writing by no later than Tuesday 23 September.

13.  Fromall the valid entries who have completed the Eligible Activity, the Promoterwill select 300 winners at random. The winner(s) will receive theopportunity to attend the NVIDIA Plenary session plus 1 SXSW SydneyInnovation Expo Pass (valued at $40 per prize). The Promoter’s decision isfinal and binding, and no correspondence will be entered into.

14.  ThePromotor will send an email with a link to the NVIDIA Plenary pre-approvedregistration to the winner(s). To claim this prize, the winner(s) must registerwithin (5) five days of Promoter sending the email. A draw for any unclaimedprize(s) will be conducted by the Promotor on the sixth day following theemails being sent. Any unclaimed prizes will be forfeited. The Promoter'sdecision is final, and no correspondence will be entered into.

15.  Theprize(s) are subject to their prevailing prize terms and conditions as advisedby the Promoter and/or any applicable prize supplier.

16.  Subjectto the unclaimed prize draw, if for any reason any winner does not take and/orparticipate in the prize (or any part of the prize) at or by the timestipulated by the Promoter in its absolute discretion (as applicable), then theprize (or that component of the prize) will be forfeited. Any and allcomponents of the prize(s) must be taken together and when offered or areforfeited.

17.  All costsnot expressly stated, but which may be incurred in the acceptance of,attendance at and/or participation in the prize(s) are the responsibility ofthe winner(s) (and any companion(s)). Such costs may include, but are notlimited to, travel to and from the Event or any other prize location and/oraccommodation at or near the Event or other prize location, and the winner(s)(and any companion(s)) are responsible for their own transport to and from the Eventor other prize location and any costs associated.

18.  Ifthe prize(s) includes ticket(s) or pass(es), the ticket(s) or pass(es) aresubject to the event venue and ticketterms and conditions, including any applicable age restriction.

19.  Thewinner(s) (and any companion(s)) must follow all directions given by thePromoter, the Event organisers (if applicable) and any other prize suppliers ororganisers during the course of their participation in the prize(s). ThePromoter, the Event organisers (if applicable) and any other prize suppliers ororganisers expressly reserve the right to eject any winner (and/or anycompanion) for age (if the prize is subject to age restrictions), health orsafety reasons or on the grounds of inappropriate behaviour, including but notlimited to intoxication, whilst participating in any component of the prize. Ifany winner (and/or any companion) fails to participate in the prize in themanner required, as stated in these Terms and Conditions and in the reasonableopinion of the Promoter, their entry and the balance of the prize will beforfeited with no compensation payable.  

20.  ThePromoter, the Event organisers (if applicable) and any other prize suppliers ororganisers reserve the right to require the winner(s) (and any companion(s))provide proof of identity, including photo identification, before issuing theprize or at any time during their participation in the prize.

21.  Totalmaximum prize value is up to $40. The prize(s), or any unused portion of theprize(s) (if applicable), are not transferable or exchangeable and cannot betaken as cash, unless otherwise specified. The prize(s) must be taken asoffered and cannot be varied and winner(s) cannot choose their prize (or anypart of their prize), unless otherwise specified. The Promoter accepts noresponsibility for any variation in prize value. All prize values are therecommended retail price in Australian dollars including GST (whereapplicable).

22.  ThePromoter reserves the right, at any time, to verify the validity of entries andEntrants (including an Entrant's identity, age and place of residence) andreserves the right, in its sole discretion, to disqualify any individual whothe Promoter has reason to believe has breached any of these Terms andConditions, tampered with the entry process or engaged in any unlawful or otherimproper misconduct calculated to jeopardise fair and proper conduct of thepromotion. Errors and omissions may be accepted at the Promoter's discretion.Failure by the Promoter to enforce any of its rights at any stage does notconstitute a waiver of those rights. The Promoter's legal rights to recoverdamages or other compensation from such an offender are reserved.

23.  Inthe event of a dispute of the identity of any winner, the winner will be deemedto be the individual who completed the Eligible Activity via the PromotionalWebsite.

24.  As acondition of accepting a prize, the winner(s) (and any companion(s)) may berequired to sign any legal documentation as and in the form required by thePromoter and/or prize suppliers in their absolute discretion, including but notlimited to a legal release and indemnity form.

25.  If aprize (or part of a prize) is unavailable, the Promoter, in its sole discretion,reserves the right to substitute the prize (or that part of the prize) with aprize of equal or greater value in lieu, subject to any written directions froma regulatory authority.

26.  Ifthis promotion is interfered with in any way or is not capable of beingconducted as reasonably anticipated due to any reason beyond the reasonablecontrol of the Promoter, including but not limited to technical difficulties,unauthorised intervention or fraud, the Promoter reserves the right, in itssole discretion, to the fullest extent permitted by law: (a) to disqualify any Entrant;or (b) subject to any written directions from a regulatory authority, tomodify, suspend, terminate or cancel the promotion, as appropriate.

27.  Nothingin these Terms and Conditions limits, excludes or modifies or purports tolimit, exclude or modify the statutory consumer guarantees as provided underthe Competition and Consumer Act 2010 (Cth),as well as any other implied warranties under the Australian Securities and Investments Commission Act 2001 (Cth) or similar consumerprotection laws in the States and Territories of Australia (Non-Excludable Guarantees). Except forany liability that cannot by law be excluded, including the Non-ExcludableGuarantees, the Promoter (including its respective officers, employees andagents) excludes all liability (including negligence), for any personal injury;or any loss or damage (including loss of opportunity); whether direct,indirect, special or consequential, arising in any way out of the promotion.

28.  Exceptfor any liability that cannot by law be excluded, including the Non-ExcludableGuarantees, the Promoter (including its respective officers, employees andagents) is not responsible for and excludes all liability (includingnegligence), for any personal injury; or any loss or damage (including loss ofopportunity); whether direct, indirect, special or consequential, arising inany way out of: (a) any technical difficulties or equipment malfunction(whether or not under the Promoter's control); (b) any theft, unauthorisedaccess or third party interference; (c) any entry or prize claim that is late,lost, altered, damaged or misdirected (whether or not after their receipt bythe Promoter) due to any reason beyond the reasonable control of the Promoter;(d) any variation in prize value to that stated in these Terms and conditions;(e) any tax liability incurred by a winner or Entrant; (f) if the Event or anyother prize event is delayed, postponed or cancelled for any reason beyond thereasonable control of the Promoter; or (g) use of or participation in theprize(s).

29.  ThePromoter collects personal information (PI)in order to conduct the promotion and may, for this purpose, disclose such PIto third parties, including but not limited to related entities, agents,contractors, service providers, prize suppliers and, as required, to Australianregulatory authorities. Entry is conditional on providing this PI. The Promoterwill also use and handle PI as set out in its Privacy Policy, which can beviewed at https://www.sxswsydney.com/privacy-policy.The Promoter may, for an indefinite period, unless otherwise advised, use thePI for promotional, marketing, publicity, research and profiling purposes,including sending electronic messages or telephoning the Entrants. The PrivacyPolicy also contains information about how Entrants may opt out, access, updateor correct their PI, how Entrants may complain about a breach of the AustralianPrivacy Principles or any other applicable law and how those complaints will bedealt with. All entries become the property of the Promoter. The Promoter maydisclose Entrants’ PI to selected entities outside of Australia (see thePrivacy Policy for details).
